TERMS AND CONDITIONS
1. Lion Edit is a trading name of Cambridge Copy and Translation SL (CCT). These conditions shall apply to all contracts between Cambridge Copy and Translation SL and the client.
2. CCT will provide a quotation only after receiving all source material and final instructions from the customer. Any other quotation will not be considered binding. The quotation will be valid for 30 calendar days from the date indicated.
3. Payment will be made in full at the time the order is made, unless otherwise specified in the quotation. The final text will remain the property of CCT until full payment is received from the client, at which time the project will automatically become the property of the client.
4. CCT will take due precautions to avoid disclosure of any information contained in the source or final material. Source and final material will be considered confidential to the level expressly specified by the client. A third party may be consulted regarding specific terminology.
5. If the customer modifies the final text without the express written permission of CCT, CCT shall not be liable for such modification or its consequences. In case of errors or omissions in the final text, the customer must specify the nature of the defect to be corrected. CCT shall be entitled to remedy such defects within a reasonable time and at no additional cost to the customer. Any complaint regarding the final text shall be notified by the customer to CCT within 7 working days after delivery. None of these processes shall affect the payment conditions described in clause 3.
6. If changes are made to the source text or requirements while the project is in progress, CCT reserves the right to adjust the price and the corresponding delivery date. If the assignment is cancelled, reduced in scale, or frustrated by any act or omission of the client or their agent, the client shall pay CCT the full contracted sum unless otherwise agreed in advance. If the project is delayed owing to CCT’s fault, the initial budget will remain unchanged unless explicitly specified by the client beforehand.
7. CCT will complete the project according to its expertise and experience. Liability for damages shall be limited to the actual breach of contractual obligations and, in any case, the invoiced value of the project.
8. The client shall inform CCT of any project requirements and provide CCT with any information and documentation (e.g. terminology glossary, illustrations, or preparatory work) necessary for its completion. CCT is not liable for any failure to comply with these obligations.
9. CCT accepts the client’s project on the understanding that it does not prejudice the rights of any third party. The customer assumes the safeguarding of CCT from any claim in relation to copyright and intellectual property infringement, or any legal action arising as a result of the content of the source or final text.
10. These terms of contract are to be interpreted in accordance with Spanish law. Any dispute may be referred by the customer or CCT to the relevant arbitration service within one month of delivery of the final text, after which it shall be submitted exclusively to the jurisdiction of the Spanish courts. No waiver of any breach of any requirement herein shall be deemed a waiver of any subsequent breach of this document or any other provision hereof.
